1. Overview
This page outlines the invoicing rules, contractual obligations, and payment terms governing all projects, estimates, and long‑term service agreements with Mafost Marketing, a division of TeamTom Education LLC.
These terms apply to all clients who accept an estimate, invoice, proposal, or contract issued by Mafost Marketing, Matt Foster, or any legal representative of the same.
This page supplements — and does not replace — the primary Terms & Conditions located at:
https://marketing.mafost.com/terms-and-conditions/
2. Acceptance of Estimates and Binding Agreements
When a client accepts an estimate, proposal, or invoice (including acceptance via email, digital signature, or payment), the following becomes legally binding:
- The scope of work
- The pricing and payment schedule
- The contract length (if applicable)
- Any goodwill adjustments or discounts tied to the agreement
- All terms listed on this page and the primary Terms & Conditions page
Acceptance constitutes a contractual agreement between the client and Mafost Marketing.
3. Long‑Term Contracts (80 Days or More)
3.1 Definition of Long-Term Contract
A Long‑Term Contract is defined as any agreement with a duration of 80 days or longer, including:
- 3‑month SEO contracts
- Multi‑month marketing retainers
- Multi‑month SEO + Ads packages
- Any agreement explicitly labeled as a “term contract”
- Any working relationship regardless of scope or continuity that includes engagements across 80 days or more (not limited to the calendar year).
Long‑Term Contracts include special pricing, expanded scope, and resource allocation that differ from month‑to‑month services.
3.2 Deliverables & Performance Reporting
Long‑term contracts with Mafost Marketing are structured around KPIs, performance outcomes, and strategic goals, not isolated task lists. We do not provide granular task logs. Each engagement includes official monthly reporting that summarizes progress, results, and insights using verified data sources such as Google Search Console, Google Analytics, advertising platforms, and proprietary reporting systems. When a contract includes more than five deliverable units in a given month, monthly performance reporting serves as the authoritative record of work completed, replacing line‑item task reporting. This ensures the focus remains on measurable results, strategic progress, and the achievement of agreed‑upon objectives rather than granular task enumeration.
Examples of Deliverable Units
- 2 blog posts, 2 ad campaigns, and a monthly audit = 5 deliverable units
- 4 backlinks, 1 landing page = 5 deliverable units.
4. Goodwill Adjustments
A Goodwill Adjustment is a voluntary reduction applied to an invoice or estimate at the discretion of Mafost Marketing.
Goodwill Adjustments:
- Are not refunds
- Are not credits for errors
- Are not admissions of fault or liability
- Are not tied to performance guarantees
- Are offered solely as a gesture of partnership
- Are conditional upon completion of the full contract term
4.1 Conditional Nature of Goodwill Adjustments
If a Goodwill Adjustment is applied to a Long‑Term Contract:
- It is only valid if the client completes the full contract term
- It is void if the client terminates early
- The client becomes responsible for the full original amount (before the adjustment)
- The difference becomes immediately due upon early termination
This protects both parties by ensuring fairness, continuity, and clarity.
5. Early Termination of Long‑Term Contracts
If a client terminates a Long‑Term Contract before the agreed end date:
- All discounts, incentives, and goodwill adjustments are reversed
- The client is invoiced for the full original contract amount
- Any outstanding balance becomes immediately due for the remaining contract
- For example, a 4 month contract is cancelled midway through month 2.
- The remainder of month 2 is due, months 3 and 4 are due, and any discounts, incentives, or goodwill adjustments are reversed and also due.
- Work may be paused until payment is received
- No prorated refunds are issued for partially completed months
This ensures that resources allocated for long‑term work are compensated fairly.
5.1 Offboarding & Final Month Procedures
For all client engagements, Mafost Marketing includes a structured offboarding process as part of our billable work.
For clients who have been with us for more than 90 days, the final month of service typically includes (1) completion of any remaining deliverables within the agreed scope of work at a 50% reduced workload allocation, and (2) a 2–3 week offboarding period for the other 50% of the workload. Offboarding includes the removal or transfer of licensed software, the handoff of data sources and tracking infrastructure, and the implementation of any final client‑requested revisions necessary for a secure transition. All offboarding work requires written instructions and is performed within the final month of the contract term. Early termination does not waive or shorten the offboarding period, and all offboarding tasks remain part of the contracted service.
5.2 Contractual Disputes
Data Analysis. Misinterpretation of analytics, confusion between keyword tools and query data, or misunderstanding of ad performance or SEO metrics does not constitute non‑performance and is not grounds for refunds, chargebacks, or early termination.
Data Interpretation. Mafost Marketing provides performance data directly from Google Search Console and Google Analytics as mentioned in our terms. Differences in interpretation, misunderstanding of metrics, or comparisons to third‑party tools do not constitute non‑performance and are not grounds for refunds or contract termination.
Professional Conduct. Mafost Marketing reserves the right to pause or terminate services if a client engages in abusive, hostile, or unprofessional behavior, including repeated accusations without evidence, refusal to follow communication protocols, or interference with the agreed scope of work. In such cases, no refunds will be issued, and the offboarding process will begin immediately.
5.3 Access Requirements
Access Requirements. Clients must maintain all necessary access (admin logins, hosting, analytics, advertising accounts, CMS access, plugin access, etc.) for Mafost Marketing to complete the agreed scope of work. If access is removed, restricted, or altered, Mafost Marketing may pause work until access is restored. Loss of access does not pause the contract term, does not qualify for refunds, and does not constitute non‑performance by Mafost Marketing.
Manual Search Disclaimer. Manual Google searches vary by device, location, search history, browser, and personalization settings. They do not reflect actual ranking performance and cannot be used as evidence of SEO results. Mafost Marketing relies exclusively on Google Search Console for non‑personalized ranking data. Disputes based on manual searches are not grounds for refunds or claims of non‑performance. Access to Google Search Console and Google Analytics is required.
6. Invoicing and Payment Terms
6.1 Invoice Delivery
Invoices are delivered electronically via email or client portal.
6.2 Payment Due Dates
Unless otherwise stated:
- Invoices are due upon receipt
- Long‑Term Contracts may include monthly billing cycles and recurring subscriptions
- Late payments may result in paused services and/or additional service fees
6.3 Non‑Payment
If payment is not received:
- Work may be paused
- Deadlines may shift
- The contract may be terminated by Mafost Marketing
- Outstanding balances remain due
7. Scope Changes and Additional Work
Any request outside the agreed scope:
- Requires written approval
- May result in additional charges
- Will be invoiced separately or added to the next billing cycle
Scope changes do not alter the contract term unless explicitly agreed upon.
8. Documentation and Communication
All contractual terms, adjustments, and agreements must be documented in writing via:
- Signed estimate
- Signed contract
- Invoice acceptance
Verbal agreements, text messages, or social media messaging are not binding unless confirmed in writing (email).
9. Governing Terms
This page is governed by and incorporated into the primary Terms & Conditions located at:
https://marketing.mafost.com/terms-and-conditions/
In the event of conflict between documents:
- The signed estimate or contract takes precedence
- This “Invoices and Contractual Terms” page applies next
